Terms & Conditions

These are the Terms and Conditions shown and accepted in the Famdwel app at first launch. During the private beta, testers additionally accept the Pre-Release Confidentiality and Non-Disclosure Agreement below, which discloses (among other things) that the pre-release app detects and logs screenshots with the tester’s consent (screen recordings and other captures are prohibited as well). Our Privacy Policy is a separate document, incorporated by reference.

1. Agreement to these Terms

These Terms and Conditions ("Terms") are a binding agreement between you ("you," "your," or "User") and Famdwel, LLC ("Famdwel," "we," "us," or "our"), governing your access to and use of the Famdwel mobile application, website, and related services (collectively, the "Service").

By creating an account, tapping "I agree," or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not access or use the Service.

We may update these Terms from time to time (see Section 18). Your continued use of the Service after an update takes effect constitutes acceptance of the updated Terms.

2. Eligibility

General rule. To create an account and use the Service on your own, you must be at least 18 years old and capable of forming a binding contract. The Service is intended for users located in the United States. By using the Service, you represent and warrant that you meet these requirements and that all registration information you provide is accurate and current.

Minors (ages 13–17), by parent/guardian invitation only. As an exception, a minor who is at least 13 but under 18 may participate in a household only if they are invited by a household owner who is the minor's parent or legal guardian. By inviting a minor, that parent or legal guardian: (a) represents and warrants that they are the minor's parent or legal guardian; (b) agrees to these Terms on the minor's behalf and is responsible for the minor's use of the Service; and (c) consents to the minor's participation. A minor participates in a limited capacity as described in the app and does not have full account or household-control abilities. The Service is not available to children under 13, and we do not knowingly permit their use. The parent or legal guardian may remove the minor or revoke access at any time.

3. What Famdwel is — and what it is not

Famdwel is a personal organization and collaboration tool for people searching for a home. It helps you and the people you are searching with:

Famdwel is not:

Famdwel does not fetch, scrape, crawl, copy, or store the contents of any Portal page. When you open a Portal in the app, your device loads that page directly from the Portal, subject to the Portal's own terms. The only property information Famdwel stores is the information you choose to enter (such as an address, price, and notes) and the photos you choose to add. You are responsible for the accuracy of what you enter.

4. Third-party Portals and content

Your use of any Portal is governed by that Portal's own terms of service and privacy policy, not by these Terms. You are solely responsible for reviewing and complying with each Portal's terms. Famdwel is not affiliated with, endorsed by, or sponsored by any Portal, and Famdwel does not control and is not responsible for Portal content, availability, accuracy, or practices.

You agree that you will not use the Service to violate any Portal's terms, including by using Famdwel to engage in automated collection, scraping, or bulk extraction of Portal data. Famdwel is designed to prevent this, and any attempt to circumvent those protections is a material breach of these Terms.

5. Accounts, households, and roles

Account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly at [email protected] of any unauthorized use.

Households. The Service organizes activity around a "household" — a group of people collaborating on one home search. When you invite others or accept an invitation, you understand that content within a household (including saved homes, notes, reactions, and photos) is visible to other members of that household according to their role, as described in the app.

Roles. Members hold roles such as owner, co-owner, advisor, or realtor. Different roles have different abilities (for example, only an owner or co-owner may create, add, remove, or permanently delete a saved home; other roles may suggest a home by sharing its link). You agree that the person who created or was designated owner or co-owner of a household controls that household's content, including the ability to add, remove, restore, or permanently delete saved homes, and to manage membership. You are responsible for how you use any role you are granted.

Realtor accounts. If you use the Service in a professional capacity as a real-estate agent, you additionally represent that you hold all licenses required for your activity and that your use complies with all laws and professional rules applicable to you, including those governing advertising, solicitation, and client communications.

6. Your content and the license you grant

"Your Content" means anything you submit to the Service, including addresses, prices, property details, notes, links you paste, reactions, and photos you upload.

Ownership. You retain ownership of Your Content. You grant Famdwel a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display Your Content solely for the purpose of operating and providing the Service to you and to the members of your household. This license ends when you delete Your Content or close your account, except for (a) content already shared with other household members, and (b) reasonable backup copies retained for a limited period.

Data use, analytics, and commercialization. In addition to operating the Service, and to the fullest extent permitted by applicable law and in accordance with our Privacy Policy, you grant Famdwel a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to collect, use, store, reproduce, combine, analyze, and create derivative, aggregated, and de-identified data sets from Your Content and from your use of the Service, and to use, license, sell, share, and otherwise commercialize such data and the insights derived from it. This includes, without limitation, county and other public-record data, and aggregated or de-identified analytics derived from activity on the Service. Where this involves your personal information, we handle it as described in our Privacy Policy and honor the rights and choices applicable law gives you — including, where applicable, the right to opt out of the "sale" or "sharing" of personal information and any consent required for sensitive information or for minors. This section does not extend to third-party listing or MLS content — such as listing details, prices, availability, status, price history, or imagery that originates from a listing portal, agent, or the multiple-listing service — which Famdwel does not claim ownership of, pool across households, or resell; your grant does not purport to give Famdwel any right it could not lawfully exercise in that content. Nothing in this section reduces the privacy protections or rights described in our Privacy Policy.

Your representations. You represent and warrant that:

Prohibited content. You agree not to upload listing or MLS imagery, third-party copyrighted material you do not have rights to, or any unlawful, defamatory, harassing, or infringing content. Famdwel's systems are designed to reject listing imagery, and uploading it is a breach of these Terms. You also agree not to use a property card, photo, note, or comment to store or distribute material unrelated to evaluating a home.

You agree not to, and not to permit anyone to:

We may investigate and take appropriate action, including suspending or terminating accounts, for any violation.

7.1 Purpose of the Service. Famdwel exists for one purpose: to help a household find a home. Every property card you create must correspond to a real residential or other real-property listing, address, or parcel that you or your household are genuinely evaluating. Using the Service to pin, store, or distribute content unrelated to that purpose — or to facilitate, promote, arrange, or conceal any illegal activity — is a material breach of these Terms. For a violation of this Section 7.1 we may, in addition to the remedies in Section 15, immediately and permanently terminate your account and prohibit you from any future use of the Service, with or without notice, and we may do so on a first violation.

8. Privacy

Our collection and use of personal information is described in our Privacy Policy. By using the Service you consent to those practices. Depending on where you live, you may have rights regarding your personal information (for example, under the California Consumer Privacy Act or, if applicable, the GDPR), including rights to access, correct, delete, or export your data. You can exercise available rights, and export or delete your account data, through the app or by contacting [email protected].

9. Intellectual property

The Service, including its software, design, text, graphics, logos, the "Famdwel" name and marks, and all related intellectual property, is owned by Famdwel or its licensors and is protected by law. Except for the limited right to use the Service under these Terms, no rights are granted to you. You may not copy, modify, distribute, sell, or lease any part of the Service, or use our name or marks, without our prior written permission.

10. Feedback

If you send us suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without obligation or compensation to you.

11. Beta and pre-release features

Parts of the Service may be offered on a beta, preview, or pre-release basis and may be incomplete, contain errors, or change or be withdrawn at any time. Pre-release features are provided "as is" and may be subject to additional terms, including a non-disclosure agreement.

12. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the fullest extent permitted by law.

Without limiting the foregoing, Famdwel does not warrant that:

You are solely responsible for independently verifying all property information and for your own decisions. Real-estate decisions are significant. You should confirm all facts with the listing agent, the seller, public records, licensed inspectors and appraisers, and other qualified professionals before relying on them. Famdwel does not provide, and nothing in the Service constitutes, real-estate brokerage services or legal, financial, tax, or professional advice.

13. Limitation of liability

To the fullest extent permitted by law, Famdwel and its operator will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or opportunity, arising out of or relating to your use of (or inability to use) the Service, even if advised of the possibility of such damages.

To the fullest extent permitted by law, the total aggregate liability of Famdwel for all claims arising out of or relating to the Service or these Terms will not exceed the total amounts you paid to Famdwel in the twelve (12) months before the event giving rise to the claim — which, if you paid nothing, may be zero U.S. dollars (US$0) — limited in every case to the maximum extent permitted by applicable law.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. In that case, our liability is limited to the smallest extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Famdwel and its operator from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Your Content; (b) your use of the Service; (c) your violation of these Terms or of any law; (d) your violation of any Portal's terms; or (e) your violation of any third party's rights, including intellectual-property or privacy rights.

15. Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access, with or without notice, if we reasonably believe you have violated these Terms, created risk or legal exposure for us, or if we discontinue the Service. On termination, your right to use the Service ends. Sections that by their nature should survive (including Sections 6, 9, 10, 12, 13, 14, 16, and 17) will survive termination.

16. Governing law and dispute resolution

These Terms are governed by the laws of the State of Idaho, without regard to its conflict-of-laws rules, and by applicable U.S. federal law.

16.1 Informal resolution first. Before starting an arbitration or lawsuit, you agree to contact us at [email protected] and attempt in good faith to resolve the dispute informally for at least thirty (30) days after notice.

16.2 Binding arbitration. Please read this section carefully — it affects your legal rights. Except for the matters described in Section 16.4, you and Famdwel agree that any dispute, claim, or controversy arising out of or relating to the Service or these Terms will be resolved by final and binding individual arbitration, rather than in court. The Federal Arbitration Act governs the interpretation and enforcement of this section. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect. The arbitration will take place in Idaho or, at your election, by telephone, video, or written submission where the rules allow. The arbitrator's award may be entered in any court of competent jurisdiction.

16.3 Class-action and jury waiver. You and Famdwel agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any class or representative proceeding. You and Famdwel also waive any right to a jury trial.

16.4 Exceptions. Notwithstanding the above, either party may (a) bring an individual claim in small-claims court if it qualifies, and (b) seek injunctive or other equitable relief in court to protect its intellectual property or confidential information. Any claim not subject to arbitration will be brought exclusively in the state or federal courts located in Idaho, and you consent to personal jurisdiction and venue there.

16.5 30-day right to opt out of arbitration. You may opt out of Sections 16.2 and 16.3 by emailing [email protected] within thirty (30) days of first accepting these Terms, with your name and a statement that you decline arbitration. If you opt out, the informal-resolution requirement and the Idaho court-venue provision still apply, but arbitration and the class-action waiver will not. Opting out has no other effect on your use of the Service.

17. Miscellaneous

Entire agreement. These Terms, the Privacy Policy, and any additional terms you agree to (such as the NDA for pre-release access) are the entire agreement between you and Famdwel regarding the Service.

Severability. If any provision is found unenforceable, the remaining provisions remain in effect.

No waiver. Our failure to enforce any provision is not a waiver of it.

Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.

18. Changes to these Terms

We may modify these Terms. If we make material changes, we will provide reasonable notice (for example, by posting the updated Terms in the app with a new effective date and, where appropriate, requiring re-acceptance). Changes are effective when posted unless stated otherwise.

Pre-Release Confidentiality and Non-Disclosure Agreement

This Confidentiality and Non-Disclosure Agreement ("Agreement") is between Famdwel, LLC ("Famdwel," "we," or "Disclosing Party"), and you, the individual accepting this Agreement ("you," "Tester," or "Receiving Party"). It takes effect when you accept it (the "Effective Date").

You are being given access to a pre-release, non-public version of the Famdwel application and related materials for the sole purpose of evaluating and testing it and providing feedback (the "Purpose"). In exchange for that access, you agree as follows.

1. Confidential Information

"Confidential Information" means all non-public information you learn or receive, directly or indirectly, in connection with your access to the pre-release Service, whether disclosed visually, orally, in writing, or through use of the app, including:

Confidential Information includes the fact that the pre-release Service exists and that you have been given access to it.

2. Exclusions

Confidential Information does not include information that you can demonstrate, by written records:

(a) was publicly available at the time of disclosure, or later became publicly available through no act or omission of yours; (b) was rightfully in your possession, without a duty of confidentiality, before you received it from us; (c) was rightfully received by you from a third party without a duty of confidentiality; or (d) was independently developed by you without use of or reference to the Confidential Information.

3. Your obligations

You agree that you will:

If you are legally compelled to disclose Confidential Information (for example, by a valid court order), you will, to the extent legally permitted, give us prompt prior notice so we may seek a protective order, and you will disclose only what is legally required.

Permitted in-app collaboration. Nothing in this Agreement prevents you from using the Service as intended — including creating, sharing, discussing, and reacting to your own home-search content (addresses, links, notes, comments, reactions, and ideas) with the other members of your own household inside the app. Your confidentiality obligations apply to the pre-release Service itself — its features, design, screens, existence, and the other non-public information described above — not to your household's ordinary collaboration within it.

Screenshot detection; your consent. To protect the confidentiality of the pre-release Service, the app detects when you take a screenshot of it and records that event — associated with your account, including your identity and the date and time — for security and to allow any unauthorized disclosure to be traced to its source. You consent to this detection and logging. Screenshots, screen recordings, photographs, and other captures of the pre-release Service remain prohibited except as expressly permitted in this Agreement, and taking one grants you no right to use or share it.

4. No license or ownership

All Confidential Information, and all intellectual property in the pre-release Service, remain the exclusive property of Famdwel. This Agreement does not grant you any license or right in the Confidential Information or the Service except the limited right to use the pre-release Service for the Purpose, which we may revoke at any time. You acquire no ownership interest of any kind.

5. Feedback

We welcome your feedback. You agree that any feedback, ideas, suggestions, bug reports, or evaluations you provide about the pre-release Service ("Feedback") may be used by Famdwel for any purpose without restriction, and you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate the Feedback, with no obligation or compensation to you. Feedback is Confidential Information of Famdwel.

6. No warranty; pre-release nature

The pre-release Service is provided "as is," for testing only, and may be incomplete, unstable, and contain errors. It is not intended for production use or for real, relied-upon home-search decisions. Famdwel makes no warranties of any kind regarding the pre-release Service and is not liable to you for any loss or damage arising from your access to or use of it. You use it at your own risk. We may modify, suspend, or discontinue the pre-release Service, and terminate your access, at any time.

7. Term and survival

This Agreement begins on the Effective Date and your confidentiality obligations continue for three (3) years after the Effective Date, except that obligations regarding any information that constitutes a trade secret continue for as long as it remains a trade secret under applicable law. Your obligations survive any termination of your access to the pre-release Service.

8. Return or destruction

On our request or on termination of your access, you will stop using the Confidential Information and, to the extent practicable, delete or destroy any Confidential Information in your possession or control (including screenshots, recordings, notes, and exports), and confirm you have done so if we ask.

9. Remedies

You acknowledge that unauthorized disclosure or use of Confidential Information may cause Famdwel irreparable harm for which monetary damages would be inadequate. Accordingly, in addition to any other remedies, Famdwel is entitled to seek injunctive and other equitable relief, without the need to post a bond, to prevent or stop a breach.

Attorneys' fees. In any action, arbitration, or other proceeding to enforce or interpret this Agreement, the prevailing party is entitled to recover its reasonable attorneys' fees, expert fees, and costs, in addition to any other relief to which it may be entitled.

10. General

Governing law and venue. This Agreement is governed by the laws of the State of Idaho, without regard to conflict-of-laws rules. The state and federal courts located in Idaho will have jurisdiction over disputes arising from it.

No obligation. Nothing in this Agreement obligates either party to proceed with any transaction or business relationship, or to disclose any particular information.

Entire agreement; amendment. This Agreement, together with the Terms and Conditions, is the entire agreement between you and Famdwel regarding the pre-release Service, and supersedes any prior understanding on that subject. It may be amended only in a writing (including an updated in-app agreement) that we provide.

Severability; no waiver; assignment. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign this Agreement without our consent; we may assign it in connection with a corporate transaction.
